Terms of Service

By downloading, accessing, or using the Resolve application ("App") or any related services, websites, or platforms (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is provided by Resolve ("Resolve," "we," "us," or "our").
These Terms constitute a legal agreement between you and Resolve — not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Resolve provides an AI-powered smart home support platform for residential technology integration companies and their clients. The Service includes:
- A mobile application for end-user support (text chat and photo uploads)
- An administrative dashboard for company management
- AI-assisted troubleshooting powered by third-party language models
- Escalation services that connect end users with their integration company's support team
The Service is designed as a white-label platform — your experience is branded by your integration company, but Resolve provides the underlying technology.
Resolve is a technology platform provider. We provide the underlying software, AI infrastructure, and hosting. We do not provide electrical, plumbing, HVAC, networking, security system, or any professional installation, maintenance, or repair services. The AI assistant's knowledge of your home is configured and managed by your integration company. The quality, accuracy, and relevance of AI responses depend on the accuracy and completeness of the information your integration company has provided about your home, devices, and systems.
3. Accounts and Access
Access to the Service requires an invite code from an authorized integration company. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to:
- Provide accurate, current, and complete information during registration
- Update your information as necessary to keep it accurate
- Notify us immediately of any unauthorized access to your account
- Not share your account credentials with others
Your access to the Service is contingent on your integration company maintaining an active subscription with Resolve. If your integration company's subscription is terminated, your access may be suspended or revoked.
4. Account Termination
Resolve retains full and sole authority to suspend, restrict, or terminate any user account — whether an end user (homeowner) or an integration company — at any time, with or without notice, and for any reason at our sole discretion. Reasons include but are not limited to:
- Violation of these Terms
- Misuse of the Service, abusive behavior, or harassment
- Abuse of AI resources, excessive usage, or circumvention of rate limits
- Extended inactivity
- Your integration company's account being deactivated or terminated
- Request by your integration company
- Legal, regulatory, or compliance requirements
- Any conduct that Resolve, in its sole judgment, deems harmful to the Service, other users, or Resolve's business interests
This authority extends to integration companies as well as individual users. Resolve may disable, suspend, or terminate an integration company's entire account — including all associated end user accounts — for non-payment, breach of the Master Service Agreement, abuse, or any other reason at our sole discretion.
Upon termination, your right to use the Service ceases immediately. We may, at our discretion, delete your account data in accordance with our Privacy Policy and applicable data retention obligations. You may request deletion of your data by contacting us.
5. Acceptable Use
You agree to use the Service only for its intended purpose of smart home support and troubleshooting. You may not:
- Violate any applicable laws or regulations
- Transmit harmful, offensive, threatening, or inappropriate content
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to harass, abuse, or harm another person
- Use automated scripts, bots, or scrapers to access the Service
- Attempt to circumvent rate limiting, authentication, or security measures
6. User-Generated Content
You may submit content through the Service, including text messages, photographs, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Resolve a non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display your User Content solely as necessary to:
- Provide the Service (including AI processing, escalation reports, and conversation history)
- Share relevant information with your integration company as part of the support workflow
- Send your content to third-party AI providers for processing (as described in our Privacy Policy)
- Improve the quality and accuracy of the Service
You represent that you have the right to submit all User Content and that it does not violate any third party's rights.
7. Voice Features
Voice calling and voice-based interaction features are not currently available in the Service. If and when voice features are introduced, this section will be updated with applicable consent terms prior to their release. All current features are text and image-based.
8. AI-Generated Content
The Service uses artificial intelligence to provide troubleshooting guidance. You acknowledge that:
- AI-generated responses are informational only and should not be considered professional electrical, plumbing, HVAC, safety, or engineering advice
- Always follow manufacturer guidelines and consult qualified professionals for complex installations or safety-critical issues
- AI responses may occasionally be inaccurate, incomplete, or inappropriate despite our safety measures
- Resolve is not liable for any damages resulting from actions taken based on AI-generated guidance
- The accuracy of AI responses depends on the data your integration company has provided — if their information is incorrect, incomplete, or outdated, AI responses may reflect those inaccuracies
SAFETY WARNING: The Service must NOT be relied upon for safety-critical operations including but not limited to: fire detection and suppression systems, carbon monoxide detection, gas appliance operation, security and alarm systems, pool and spa safety controls, electrical panel or wiring work, life-safety systems, or any situation involving risk of personal injury, death, or significant property damage. Always contact emergency services (911) for emergencies. Always follow manufacturer safety guidelines and consult qualified, licensed professionals for safety-critical issues.
9. Third-Party Services
The Service relies on third-party providers to deliver its functionality. These include, but are not limited to:
- OpenRouter / OpenAI / Google / Minimax — AI language model providers for chat processing
- Supabase — Database, authentication, and file storage
- Resend — Email delivery for escalation reports
- Vercel — Application hosting
- Apple / Google — Authentication via Sign in with Apple / Google Sign-In
We are not responsible for the availability, performance, or conduct of third-party services. Interruptions, outages, or failures in third-party services may temporarily or indefinitely affect the Service's functionality, and we disclaim all liability for any such disruptions. This includes but is not limited to: AI model provider outages, changes to AI model capabilities or behavior, API deprecations, degraded response quality from external AI services, cloud infrastructure failures, and changes to third-party terms of service or data handling practices. Resolve may change, add, or remove third-party providers at any time without notice.
10. Fees and Payment
The Resolve mobile application is provided free of charge to end users. There are no in-app purchases, subscriptions, or fees charged to homeowners through the App or through Apple's App Store.
Access to the Service is made available through a licensing agreement between your smart home integration company and Resolve. All commercial arrangements exist exclusively between Resolve and integration companies at the business level — not with individual end users. No payment information is collected from homeowners.
11. Intellectual Property
The Service — including its design, code, features, branding, and content — is owned by Resolve and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights in the Service.
In the event of any third-party claim that the App or your use of it infringes a third party's intellectual property rights, Resolve (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL RESOLVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR PROPERTY DAMAGE, ARISING FROM YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
Resolve (not Apple) is solely responsible for addressing any claims you or any third party may have relating to the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
13. Indemnification
You agree to indemnify, defend, and hold harmless Resolve, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of another person or entity.
14. Maintenance and Support
Resolve is solely responsible for providing maintenance and support for the App, as required under applicable law or as described in these Terms. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.
16. Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Resolve.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
17. Export Compliance
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.
18. U.S. Government End Users
The App and related documentation are "Commercial Items" as defined in 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." If accessed by a U.S. Government end user, use, duplication, and disclosure are subject to the restrictions set forth in these Terms.
19. Apple-Specific Terms
The following terms apply to your use of the App as obtained through the Apple App Store:
- You acknowledge that these Terms are between you and Resolve only, and not with Apple
- Apple has no responsibility for the App or its content
- Apple has no obligation to provide maintenance or support services for the App
- In the event of a failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) of the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App
- Resolve, not Apple, is responsible for addressing any claims relating to the App or your use of it, including product liability, legal compliance, and intellectual property claims
- In the event of a third-party intellectual property claim, Resolve (not Apple) is solely responsible for the investigation, defense, settlement, and discharge of such claim
- You must comply with any applicable third-party terms of agreement when using the App
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary
20. Force Majeure
Resolve shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, pandemic, war, terrorism, government actions, power failures, internet or telecommunications failures, third-party service outages (including AI providers, hosting, or email services), cyberattacks, or any other event beyond our reasonable control.
21. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or via email. Your continued use of the Service after modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
22. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
23. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Resolve regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
